Britvic Acquisition of C&C Soft Drinks

UK drinks manufacturer Britvic acquired the soft drinks and distribution businesses of Ireland’s C&C Group for €249.2 million in August 2007.

Working closely with Britvic our role in the acquisition included due diligence advice during the corporate negotiation and the Share Purchase Agreement in respect of the property element of the company, undertaking valuations of each of the properties and arranging and advising in relation to structured surveys.

Our involvement encompassed the following:

Stage 1 – During the corporate negotiation process we provided strategic advice relating to the properties which included liaising with Britvic’s solicitors, A&L Goodbody.

Our advice required a high level review within a tight timeline of the property element and providing strategic advice in relation to the Share Purchase Agreement to ensure that Britvic’s interests were protected. This included liaison with A&L Goodbody as to the wording regarding the property element and potential dilapidations and repair issues.

All of this advice and involvement took place over the period April to August 2007.

Stage 2 - Following completion of the corporate acquisition we provided valuations for balance sheet purposes for the freehold properties now owned by Britvic in Dublin, Cork, Limerick, Donegal, Waterford and Belfast. This included the inspection, measurement and provision of detailed reports on each of the properties for Britvic as new owners of the properties.

The Jones Lang LaSalle team worked closely with Britvic within a tight timeline providing strategic advice on the property element to ensure that their corporate objectives were ultimately met.
